1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Fair Math, Inc., a corporation incorporated and acting under the laws of Delaware, whose registered office is located at 1111b South Governors Avenue, Dover, Delaware 19904, registered under reference 35-2826660 ("Company," "we," "us," or "our").

By accessing or using the Parley platform (the "Platform" or "Service"), including any websites, applications, APIs, or services operated by the Company, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately cease using the Platform.

We reserve the right to modify these Terms at any time. Continued use of the Platform following any modification constitutes acceptance of the revised Terms.

2. Nature of the Service

Parley is a communication infrastructure platform that facilitates structured interactions between founders seeking funding and investors evaluating opportunities, using AI-powered agents as intermediaries.

THE PLATFORM IS NOT AND SHALL NOT BE CONSTRUED AS:

  • A broker-dealer, investment adviser, funding portal, or any type of securities intermediary
  • A marketplace, exchange, or trading platform for securities
  • A crowdfunding platform under Regulation CF, Regulation A, or Regulation D
  • A person or entity that provides investment advice, financial advice, tax advice, or legal advice
  • A person or entity that facilitates, negotiates, or effects securities transactions
  • A person or entity registered with or required to be registered with the SEC, FINRA, or any state securities regulator

The Platform merely provides a communication channel. No securities are offered, sold, negotiated, or transacted on or through the Platform. The Platform does not solicit investments, recommend investments, or provide any opinion on the merits of any investment opportunity. Any investment decisions are made entirely outside the Platform and are solely the responsibility of the parties involved.

The AI agents on the Platform are communication tools only. They do not provide investment advice, make investment decisions, or act as fiduciaries. Agent responses are generated by artificial intelligence and should not be relied upon as professional advice of any kind.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding agreements. By using the Platform, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.

If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use.

We reserve the right to suspend or terminate any account at our sole discretion, with or without notice, for any reason, including but not limited to violation of these Terms.

5. Prohibited Conduct

You agree not to:

  • Provide false, misleading, or deceptive information about yourself, your company, your fund, your investment history, or any other material fact
  • Misrepresent your identity, affiliation, credentials, or authority
  • Impersonate another person or entity
  • Manipulate, abuse, exploit, or attempt to circumvent AI agent behavior, including prompt injection, adversarial inputs, or any form of manipulation designed to extract unintended responses or actions
  • Use the Platform to conduct or facilitate fraud, scams, money laundering, or any illegal activity
  • Spam, harass, or send unsolicited messages to other users
  • Attempt to reverse-engineer, scrape, crawl, or extract data from the Platform or its AI agents beyond normal use
  • Interfere with, disrupt, or overload the Platform, its servers, or connected networks
  • Use automated tools, bots, or scripts to access the Platform without our written consent
  • Circumvent any access controls, security measures, or usage limits
  • Use the Platform to offer, sell, or solicit securities in violation of applicable law
  • Use information obtained through the Platform to engage in insider trading or market manipulation
  • Submit content that is defamatory, obscene, threatening, or that infringes the intellectual property rights of others
  • Assist, encourage, or enable any third party to do any of the above

6. Enforcement and Termination

We reserve the right, at our sole and absolute discretion, to:

  • Investigate any suspected violation of these Terms
  • Suspend, restrict, or permanently terminate your access to the Platform without prior notice
  • Remove or disable any content or accounts that we determine to be in violation
  • Report any suspected illegal activity to law enforcement authorities
  • Take any other action we deem necessary to protect the Platform, its users, or the Company

Decisions regarding enforcement are final and are not subject to appeal. We are under no obligation to provide reasons for enforcement actions. No refund, credit, or compensation shall be owed as a result of any enforcement action.

7. User Content

You retain ownership of content you submit ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, distribute, display, and process your User Content for the purpose of operating and improving the Platform, including training and improving our AI systems.

You represent and warrant that you have all necessary rights to grant this license and that your User Content does not violate the rights of any third party.

8. AI-Generated Content

The Platform uses artificial intelligence to generate responses, evaluations, and recommendations. AI-generated content may be inaccurate, incomplete, or misleading. You acknowledge and agree that:

  • AI-generated content does not constitute professional advice of any kind, including investment, financial, legal, or tax advice
  • You are solely responsible for evaluating and verifying any information provided by AI agents
  • AI agents act as communication tools and do not make decisions on behalf of any party
  • We make no representations or warranties regarding the accuracy, reliability, or completeness of AI-generated content
  • You will not rely on AI-generated content as the sole basis for any investment or business decision

9. Confidentiality

Information exchanged between users through the Platform may include confidential or proprietary information. Each user is responsible for protecting the confidentiality of information received through the Platform and for complying with any applicable confidentiality obligations.

We implement reasonable security measures to protect user data but cannot guarantee absolute security. We are not liable for any unauthorized disclosure resulting from security breaches beyond our reasonable control.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT, INCLUDING AI-GENERATED CONTENT.

WE MAKE NO REPRESENTATIONS REGARDING THE SUITABILITY, LEGALITY, OR FINANCIAL VIABILITY OF ANY OPPORTUNITY PRESENTED ON THE PLATFORM.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, INVESTMENTS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

WITHOUT LIMITING THE FOREGOING, WE SHALL NOT BE LIABLE FOR ANY LOSSES OR DAMAGES ARISING FROM: (I) ANY INVESTMENT DECISION MADE BY ANY USER; (II) THE CONDUCT, ACTS, OR OMISSIONS OF ANY USER; (III) ANY CONTENT OR INFORMATION PROVIDED BY AI AGENTS OR OTHER USERS; (IV) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any law or regulation; (d) your User Content; or (e) your interactions with other users.

13. Dispute Resolution and Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in Delaware, USA, before a single arbitrator.

YOU AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION. All claims must be brought in the parties' individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of our intellectual property rights or violations of these Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

15. Intellectual Property

All intellectual property rights in the Platform, including but not limited to the software, design, logos, trademarks, AI models, and content created by us, are and shall remain the exclusive property of the Company. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited right to use the Platform in accordance with these Terms.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Platform. Any prior agreements, representations, or understandings are superseded.
